Digital Product Promoter Terms & Conditions

Effective Date: Date of acceptance

These Terms & Conditions govern participation in the Digital Product Promoter Programme operated by Clicks International Limited (“the Company”). By ticking the acceptance checkbox and proceeding with registration or campaign participation, you (“the Promoter”) confirm that you have read, understood and agreed to these terms.

The Company engages promoters to create awareness, promote its digital products, acquire users and generate qualified account registrations through approved promotional activities.

The Company’s products may include LeaderDesk, TrainTrack, Comperit and other products or services designated by the Company.

Participation is subject to the applicable campaign instructions, product assignments, performance targets, deliverables and commission arrangements communicated through the promoter dashboard or other official Company channels.

The Promoter agrees to:

- Understand the assigned product, its features, benefits and target audience.

- Create and publish appropriate promotional content in accordance with Company guidelines.

- Use approved brand assets and accurate product information.

- Use assigned referral links for promotional activities and registration attribution.

- Monitor performance and submit reports as required.

- Comply with campaign instructions, applicable laws and relevant platform policies.

- Conduct promotional activities honestly and professionally.

The Promoter must not make false or misleading claims, engage in spam, generate fraudulent registrations, manipulate performance data or misrepresent the Company's products, services or business arrangements.

The Promoter acknowledges and agrees that compensation is determined by the commission structure, performance criteria and payment conditions established by the Company for the applicable campaign.

The applicable commission rates, qualifying activities, performance targets, milestones, payment conditions and other compensation details will be communicated through the promoter dashboard or other official Company communication channels.

The Promoter expressly acknowledges and agrees that:

a. Commission is earned only in accordance with the applicable commission structure and qualification requirements.

b. Registration, participation in a campaign or publication of promotional content does not automatically guarantee payment.

c. Only eligible, verified and attributable activities or registrations will qualify for commission, as applicable to the campaign.

d. The Company reserves the right to review, revise, increase, reduce, restructure or discontinue commission rates, incentive arrangements, performance targets and other campaign compensation terms from time to time.

e. Changes to commission arrangements will be communicated through the dashboard or another official Company channel and will apply from the stated effective date. Unless otherwise required by law or expressly agreed, revised rates will apply prospectively and will not retrospectively reduce commissions already earned under the previously applicable terms.

f. The Company may introduce new commission structures, change qualification criteria or establish different arrangements for different products, campaigns or categories of promoters.

g. Payment is subject to verification, applicable review procedures and compliance with the relevant campaign terms.

The Promoter is responsible for reviewing updates to their dashboard and official campaign communications.

The Company may use referral tracking systems, dashboards, analytics and other verification mechanisms to measure campaign performance.

The Promoter acknowledges that:

- Registrations must satisfy the applicable qualification criteria.

- Duplicate, incomplete, fraudulent, manipulated or otherwise ineligible registrations may be excluded.

- Registrations that cannot be attributed to the Promoter through the designated tracking mechanism may not qualify for commission.

- Dashboard figures may be subject to verification and correction.

- The Company’s verified campaign records will form the basis for calculating eligible performance and commission, subject to correction of demonstrable errors.

The Company may investigate suspected abuse or irregularities and request reasonable supporting information where necessary.

The Company reserves the right, at its discretion and subject to applicable law, to modify, suspend, pause, restrict, postpone, discontinue or terminate any campaign, product promotion, promotional channel or part of the Promoter Programme.

Such action may be taken for reasons including, but not limited to:

- Business priorities or strategic changes.

- Budget limitations or financial considerations.

- Product changes, technical issues or service interruptions.

- Unsatisfactory campaign performance.

- Regulatory, legal or compliance requirements.

- Fraud, abuse, security concerns or reputational risks.

- Changes in market conditions or advertising platform policies.

- Any other legitimate business reason.

Where reasonably practicable, the Company will notify affected promoters of material changes or discontinuation. However, immediate action may be taken where necessary to protect the Company, its products, users, systems or business interests.

The Company will not be obligated to continue a campaign for its originally anticipated duration or to guarantee a particular volume of work, registrations, earnings or future promotional opportunities.

Where a campaign is discontinued, the Promoter will cease the affected promotional activities as instructed. Eligible commissions earned before the effective discontinuation date will be reviewed and settled in accordance with the applicable terms, subject to verification, lawful adjustments and any unresolved fraud or attribution issues.

The Company will not be liable for unearned future commissions, anticipated earnings or promotional opportunities lost as a result of a lawful campaign change or discontinuation.

The Company may suspend, restrict or terminate a Promoter's account or participation in the Programme where:

- The Promoter breaches these Terms & Conditions or applicable campaign instructions.

- Fraudulent, misleading, abusive or unauthorised promotional activities are identified.

- The Promoter manipulates registrations, referrals, engagement or performance records.

- Confidential information, user data or Company assets are misused.

- The Promoter engages in conduct that may materially harm the Company's business, reputation, products or users.

- The Promoter fails to meet applicable obligations or repeatedly fails to submit required reports.

- The Company restructures or discontinues the relevant programme or campaign.

- Continued participation is otherwise reasonably considered inappropriate for legitimate business, security, compliance or operational reasons.

Where appropriate, the Company may issue a warning or request corrective action before termination. However, the Company may suspend access or terminate participation immediately where the circumstances warrant urgent action.

Upon termination, the Promoter must stop representing the Company, discontinue unauthorised promotional activities and comply with instructions regarding Company materials, accounts and confidential information.

Termination does not automatically extinguish eligible commissions already earned. Such commissions will be assessed under the applicable terms, subject to verification, lawful deductions and any legitimate dispute concerning eligibility.

All Company trademarks, logos, product materials, documentation, brand assets and other intellectual property remain the property of the Company or their respective owners.

The Promoter receives a limited, revocable, non-exclusive permission to use approved materials solely for authorised promotional activities.

The Promoter must not:

- Alter official branding in a misleading or unauthorised manner.

- Claim ownership of Company intellectual property.

- Register confusingly similar names, domains or social media accounts without written permission.

- Use Company materials for unauthorised purposes.

- Continue using restricted materials after permission has been withdrawn.

Ownership and permitted use of content created specifically for the Company will be governed by any additional written agreement or applicable campaign instructions.

The Promoter must protect confidential Company information, business plans, commission information where designated confidential, account credentials and non-public campaign data.

Personal information obtained through promotional activities must be handled lawfully, securely and only for authorised purposes.

The Promoter must not sell, disclose, misuse or unlawfully collect personal information or share access credentials with unauthorised persons.

These confidentiality and data protection obligations continue after participation ends, for as long as the information remains protected by applicable law or the relevant confidentiality obligations.

Participation in the Programme does not, by itself, create an employment relationship, partnership, joint venture, agency or franchise between the Promoter and the Company.

The Promoter is responsible for their own equipment, internet access, operating expenses, taxes and other personal business costs unless the Company expressly agrees otherwise in writing.

The Promoter has no authority to enter into contracts, make financial commitments, incur liabilities or make binding representations on behalf of the Company without prior written authorisation.

Nothing in this clause overrides any employment or other legal status that may arise under applicable law based on the actual circumstances of the relationship.

The Company does not guarantee that the Promoter will achieve a particular number of registrations, earn a particular amount of commission or receive continued access to any campaign.

Results depend on factors including audience response, promotional quality, market conditions, product suitability and campaign requirements.

The Promoter acknowledges that targets are performance objectives and that compensation is governed by the applicable commission structure and verified results.

To the extent permitted by applicable law, the Company will not be liable for indirect or consequential losses, anticipated profits, lost future commissions or opportunities arising from campaign changes, suspension or discontinuation.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability that cannot lawfully be excluded.

The Promoter remains responsible for losses or claims arising from their own fraud, unlawful conduct, unauthorised representations or material breach of these terms, subject to applicable law.

The Company may update these Terms & Conditions to reflect changes in its business operations, products, policies, applicable laws or the requirements of the Promoter Programme.

Material changes will be communicated through the promoter dashboard, the Company's website or another official communication channel, together with an effective date where applicable.

Where required by law or where a change materially affects the basis of participation, the Company will obtain renewed acceptance or provide an appropriate opportunity for the Promoter to discontinue participation.

Continued participation after the effective date of properly communicated changes may constitute acceptance where legally valid. A promoter's failure to read a properly communicated update does not, by itself, invalidate an otherwise effective notice.

These Terms & Conditions are governed by the laws of the Federal Republic of Nigeria.

The parties will first attempt to resolve disputes through good-faith discussions. Where a dispute cannot be resolved amicably, either party may pursue the remedies available through the competent courts or other lawful dispute resolution mechanisms in Nigeria.

The Promoter acknowledges that acceptance through the Company's website or promoter dashboard constitutes an electronic record of agreement to these Terms & Conditions, subject to applicable law.

The Company may retain the Promoter's account details, acceptance date and time, and the version of the Terms & Conditions accepted as evidence of acceptance.

The Promoter confirms that they have had the opportunity to read these terms, understand their implications and seek clarification before accepting.

By ticking the acceptance checkbox, the Promoter confirms that they voluntarily agree to be bound by these Terms & Conditions.

Choose a published product and share your personal link. Customers register and pay on that product’s own website. Becoming a digital marketer is optional and is not required to use those websites.

What counts as earnings?

A visit or ordinary account registration does not automatically earn a commission. Each product lists its rules. Verified orders and qualifying partner registrations are separate activities. Pending amounts require review; approved amounts remain unpaid until a payout is recorded. Refunds can reverse earnings.

Your information

Clicks stores your account details, referral activity, commission records and payout references. Connected websites report an account reference, name, optional location and qualifying activity. Digital marketers see only their own reports; passwords and card details are never shared through the integration.

Product sites have separate accounts and privacy terms. Before registration, customers are told when their activity will be attributed to a Clicks digital marketer. Contact the Clicks administrator for corrections or account closure. Financial audit history is retained when an account is closed.
